The terms for using Cordanis.

01 The agreement

These terms are between Cordanis and the organization that subscribes to the service (the customer). By signing in, you confirm that you are authorized to use Cordanis on behalf of that organization and that you will follow these terms. If your organization has a signed agreement with Cordanis, that agreement takes precedence where the two differ.

02 The service

Cordanis is a software service that helps sales teams prioritize accounts, research them, prepare and run outreach, track opportunities, and plan their day, with an AI Assistant that prepares work for a person to approve. Cordanis may change features over time; it will not remove a capability your organization depends on without notice.

03 Accounts and organizations

• Accounts belong to organizations. An organization administrator invites people, assigns roles, and can remove access at any time.
• You are responsible for keeping your sign-in credentials secure and for activity under your account. Tell us promptly at the address below if you believe an account has been compromised.
• You must be at least 18 and using Cordanis for work on behalf of an organization.

04 Your data and connected sources

• Your organization owns the data it uploads, writes, or generates in Cordanis and the data Cordanis reads from sources you connect. Cordanis uses that data only to provide the service, as described in the privacy policy.
• You are responsible for having the right to connect a source and to bring data into Cordanis, including under your own organization's policies and the connected provider's terms.
• You may disconnect a source or ask for deletion of your data at any time.

05 Acceptable use

Do not use Cordanis to:

• send unsolicited bulk email or messages that violate anti-spam, privacy, or consumer protection laws, or the connected provider's sending policies;
• access data or accounts you are not authorized to access, or attempt to bypass tenant isolation, approval steps, or rate limits;
• upload malicious code or content that infringes the rights of others;
• resell the service or build a competing product from it.

06 AI-generated work and approvals

• The Assistant prepares drafts, research, and recommendations. They may be incomplete or wrong. A person is responsible for reviewing work before relying on it or sending it.
• Actions with outside effects, such as sending email, changing CRM records, or spending a provider's credits, run only after a person approves that specific action in Cordanis. Approving an action makes it your organization's action.

07 Third-party services

Connected providers such as Google, Salesforce, and Apollo are separate services under their own terms. Cordanis calls them only as you direct and is not responsible for their availability, their data, or changes they make to their APIs. Your use of those services through Cordanis must comply with their terms.

08 Fees

Fees, billing periods, and usage limits are set in your organization's order form or subscription. Fees are payable as stated there and are non-refundable except where that document or the law says otherwise.

09 Confidentiality

Each side will protect the other's non-public information with at least the care it uses for its own, and use it only for the purposes of this agreement. Your organization's workspace and connected source data is your confidential information.

10 Warranties and liability

• Cordanis will provide the service with reasonable skill and care and in line with the security controls described at Trust & controls.
• Except as stated in these terms or a signed agreement, the service is provided as is, without other warranties, express or implied.
• To the extent the law allows, neither side is liable for indirect, consequential, or punitive damages, and Cordanis' total liability under these terms is limited to the fees your organization paid in the twelve months before the claim. This limit does not apply to a breach of confidentiality or to liability that cannot be limited by law.

11 Termination

Your organization may stop using Cordanis at any time. Cordanis may suspend or end access for a material breach of these terms that is not fixed within 30 days of notice, or immediately where required to protect the service or other customers. On termination, your organization can export its data for 30 days, after which it is deleted as described in the privacy policy.

12 Changes and contact

Cordanis may update these terms; material changes are announced to organization administrators at least 30 days before they take effect. Questions about these terms: support@cordanis.com.
